Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and Clipable LLC, a Nevada limited liability company doing business as PowerKeys (“PowerKeys,” “we,” “us”), governing the PowerKeys desktop application (the “App”), the powerkeys.net websites, and the PowerKeys cloud services, marketplace, and AI features (together, the “Services”). They include the software license for the App in Section 3. By creating an account, installing the App, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility and accounts

You must be at least 13 years old to use the Services. You are responsible for your account, for keeping your sign-in credentials secure, and for all activity under your account. Provide accurate information and keep it current.

2. What PowerKeys does (and what that means)

PowerKeys records macros, remaps input, runs user-authored JavaScript, and automates your Windows PC. Automation is powerful: scripts and macros you create or install can type, click, read the screen, access the clipboard, make network requests, and interact with files and other programs, subject to the permissions shown in the App. You are responsible for what your automations do. Review scripts before running them, use the App’s permission and safety controls, and keep the panic-stop hotkey in mind.

3. Software license (EULA)

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the App on Windows devices you own or control, for your own use. We retain all rights in the App and Services not expressly granted. You may not:

  • copy (except reasonable backups), modify, or create derivative works of the App;
  • reverse engineer, decompile, or disassemble the App except where applicable law permits it despite this restriction;
  • rent, lease, sell, sublicense, or redistribute the App or your account;
  • remove proprietary notices, or use the Services to build a competing product;
  • circumvent license checks or plan limits.

The App includes open-source components under their own licenses, listed in the third-party notices file distributed with the App; those licenses govern those components. Scripts you write are yours (Section 5); the PowerKeys scripting APIs remain part of the App.

4. Acceptable use

You agree not to use the Services to:

  • create, distribute, or run malware, keyloggers targeting other people, credential stealers, or any tool designed to harm, surveil, or defraud others;
  • automate unauthorized access to systems, scrape or attack services, evade security controls, or send spam;
  • violate any law, or infringe others’ intellectual property, privacy, or publicity rights;
  • publish marketplace content that is deceptive, malicious, or misrepresents what it does;
  • interfere with the Services themselves, including probing, overloading, or disrupting our infrastructure, or reselling access.

Third-party terms are your responsibility. Some applications, games, and online services prohibit or restrict automation, macros, or input remapping. Using PowerKeys with them may violate their terms or trigger anti-cheat or anti-bot systems, and can result in penalties up to permanent bans issued by those third parties. PowerKeys has no control over third-party enforcement and is not responsible for suspensions, bans, or other consequences. Check the rules of the software and services you automate.

5. Your content and the marketplace

You keep ownership of the macros, scripts, and other content you create. So that the Services can function, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit your content as needed to operate, secure, and improve the Services. For content you publish to the marketplace, that license also covers distributing it to other users, displaying it in listings, and letting installers use, run, copy, and adapt it as part of their PowerKeys setups. You can remove published content at any time; copies already installed by other users, and cached or backup copies for a limited period, may persist.

You are responsible for content you publish. You represent that you have the rights to it and that it does not infringe anyone’s rights or contain malicious functionality. We do not pre-review marketplace content and are not responsible for third-party content; installing and running marketplace scripts is at your own risk, subject to the safety information shown in the App. We may (but have no obligation to) scan, review, remove, restrict, or refuse any content or account at our discretion, including for AUP violations, security concerns, or legal reasons. You will defend and indemnify PowerKeys against third-party claims arising from content you publish.

6. Copyright complaints (DMCA)

We respect intellectual property and expect the same of users. If you believe content on the Services infringes your copyright, send a notice to our designated agent at [email protected] with the subject “DMCA Notice” including: (1) your physical or electronic signature; (2) identification of the copyrighted work; (3) identification and location (URL or marketplace listing) of the allegedly infringing material; (4) your contact information; (5) a statement of good-faith belief that the use is unauthorized; and (6) a statement, under penalty of perjury, that the notice is accurate and you are authorized to act for the copyright owner.

If your content was removed by mistake or misidentification, you may send a counter-notice with the elements required by 17 U.S.C. § 512(g)(3); we may restore the content in 10–14 business days unless the complainant files a court action. Repeat infringers: we terminate the accounts of repeat infringers, and may act on a single blatant infringement.

7. Paid plans, billing, and cancellation

  • Plans. Paid subscriptions (currently Supporter and Pro) are billed monthly or annually at the prices shown at purchase, plus any applicable taxes. Plan features are described at powerkeys.net/pricing and may evolve; if we remove a major paid feature mid-term, we will tell you first and you can cancel.
  • Automatic renewal. Subscriptions renew automatically at the end of each billing period and your payment method is charged at the then-current price until you cancel. We confirm the terms by email with a cancellation link after checkout, and for annual plans we send a reminder before each renewal.
  • Cancellation. Cancel any time online from your account portal in a couple of clicks. Cancellation takes effect at the end of the current billing period; you keep paid features until then. We do not charge cancellation fees.
  • Refunds. See our Refund Policy, which is part of these Terms.
  • Price changes. We will notify you of price increases at least 30 days before they apply, and they take effect at your next renewal. If you do not agree, cancel before the renewal.
  • Pro usage limits. Pro includes a monthly allotment of AI agent requests, which does not roll over. Limits and fair-use safeguards exist to keep the feature available to everyone; we may throttle abusive usage patterns.
  • Failed payments. If a renewal charge fails, we may retry and downgrade the account to Free if payment is not completed.

8. AI features

  • You are interacting with AI. The Script Assistant is an AI system. Its responses are generated by machine-learning models and can be wrong, incomplete, or unsafe for your specific situation.
  • Review before you run. Assistant-suggested code executes on your machine with the permissions you grant. Review diffs and understand changes before accepting or running them; you are responsible for the results, including unintended input activity.
  • Your inputs and outputs. As between you and PowerKeys, you own the scripts and content you submit and the outputs generated for you. Outputs are provided as-is, without warranty, and similar outputs may be generated for other users. Content you submit is processed by our AI providers as described in the Privacy Policy.
  • Limits. AI features are subject to your plan’s usage limits and follow our model providers’ acceptable-use rules — the same no-malware, no-illegal-use lines as Section 4.

9. Third-party services

The Services depend on third-party providers (sign-in, hosting, payments, AI models), and scripts can call third-party APIs. Third-party services are governed by their own terms, and we are not responsible for them. The marketplace may link to or wrap third-party tools; the authors of those items, not PowerKeys, are responsible for them.

10. Updates and availability

The App checks for and may install updates, which can add, change, or remove features. The Services are provided on an evolving basis: we may modify or discontinue features, and Free-plan features (including whether ads are shown) may change. We aim for high availability but do not guarantee uninterrupted service. If we discontinue the paid Services entirely, we will provide a pro-rata refund of prepaid, unused amounts.

11. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you materially violate these Terms, create risk or legal exposure for us or other users, or if required by law; where practical, we will notify you and, for paid plans, refund prepaid amounts for the unused period unless the termination is for a serious violation. Sections 5, 6, and 12–15 survive termination.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING THAT: AUTOMATION SOFTWARE SENDS INPUT TO YOUR COMPUTER, AND MISCONFIGURED OR MALICIOUS SCRIPTS CAN CAUSE UNINTENDED ACTIONS, DATA LOSS, OR THIRD-PARTY PENALTIES; MARKETPLACE CONTENT IS THIRD-PARTY CONTENT; AND AI OUTPUT MAY BE INACCURATE. Some jurisdictions do not allow certain warranty disclaimers, so parts of this section may not apply to you.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POWERKEYS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) FIFTY US DOLLARS ($50). These limits do not apply where they cannot lawfully be applied, and nothing in these Terms limits liability for our willful misconduct or gross negligence or waives rights consumers are entitled to by law.

14. Export and sanctions

You may not use or download the Services in violation of US export-control or sanctions laws, and you represent that you are not located in an embargoed country and are not on a US restricted-party list.

15. Governing law and disputes

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. Before filing a claim, contact us at [email protected] — most issues can be resolved informally within 30 days. Disputes that cannot be resolved informally will be brought in the state or federal courts located in Clark County, Nevada, and both parties consent to their jurisdiction; either party may instead bring qualifying individual claims in small-claims court. If you are a consumer, you may have mandatory rights to bring claims where you live, and nothing here removes them.

16. Changes to these Terms; general

We may update these Terms as the Services evolve. For material changes, we will give notice (site, app, or email) at least 14 days before they take effect; continued use after that means the updated Terms apply. If any provision is unenforceable, the rest remains in effect. These Terms plus the policies they reference are the entire agreement; you may not assign them without our consent; our failure to enforce a provision is not a waiver.
